GENERAL TERMS AND CONDITIONS OF SALE B2B

1. Scope of Application

These general terms and conditions of sale ("Terms") apply to all B2B transactions carried out through our e-commerce platform by companies registered in one of the Member States of the European Union.

2. Registration and VAT Verification (VIES)

2.1. To make B2B purchases, the customer must register on the platform by providing company details, including a valid VAT number.

2.2. The provided VAT number will be automatically verified through the European Commission’s VIES (VAT Information Exchange System).

2.3. If the VIES verification is successful, the customer will be registered as a B2B buyer and will be able to benefit from VAT-free invoicing (if applicable under current regulations).

2.4. If the VIES verification fails, the customer will be notified and will not be able to complete registration as a B2B buyer until a valid VAT number is provided.

3. Prices and Invoicing

3.1. All prices displayed on the platform are exclusive of VAT unless otherwise specified.

3.2. If the customer is registered with a valid VAT number in another EU Member State and qualifies for intra-community invoicing, the sale will be conducted without VAT in compliance with applicable regulations.

3.3. The customer is responsible for the accuracy of the billing information provided and for any VAT payment obligations in their respective Member State.

4. Shipping and Delivery

4.1. Shipments are made to all EU Member States under the conditions specified in the "Shipping and Delivery" section of the platform.

4.2. The risk of loss or damage to goods transfers to the customer upon delivery to the carrier.

5. Right of Withdrawal and Returns

5.1. As this is a B2B sale, the right of withdrawal applicable to consumers does not apply.

5.2. Returns will only be accepted upon prior approval and in accordance with the conditions specified in the "Returns and Refunds" section of the platform.

6. Governing Law and Jurisdiction

6.1. These Terms are governed by the law of the country where our company is registered.

6.2. Any disputes arising from the interpretation or execution of these Terms shall be subject to the exclusive jurisdiction of the court where our company’s registered office is located.

7. Amendments to the Terms

We reserve the right to amend these Terms at any time. Changes will be effective upon their publication on the platform.

By registering on our platform and placing an order, the customer fully accepts these Terms.
